Plain-English order terms.

1. Who you're dealing with

These terms govern your purchase of custom clothing labels, patches and related products from Labelwala, a sole-proprietorship trading from Ahmedabad, Gujarat, India. By placing an order — over WhatsApp, email, the Quick Quote form or any other channel — you agree to these terms.

If you're ordering on behalf of a company, you confirm you have the authority to bind that company to these terms.

2. How orders work

2.1 Quotes

Quotes shared on WhatsApp, email or our price calculator are indicative. The final binding price is the one in the proforma invoice we send before production starts. Quotes are valid for 30 days unless stated otherwise.

2.2 Sample preview & approval

For every custom order, we send a digital sample preview (a to-scale, colour-matched proof) on WhatsApp before production. You must approve the proof in writing (a WhatsApp confirmation counts) before we begin manufacturing. Once approved, the design is locked.

Changes after approval will incur additional charges and may extend the lead time.

2.3 Order confirmation

An order is confirmed only when (a) you approve the sample preview, AND (b) we receive payment per Section 3. Email/WhatsApp acknowledgements before either step are not binding orders.

3. Pricing & payment

3.1 Pricing

Prices on our website and quotes are in Indian Rupees (INR), exclusive of GST and shipping. GST (currently 5% on most label categories, 12% on patches — subject to government rates) is added at invoicing.

3.2 Payment terms

• New customers: 100% advance via UPI or bank transfer before production.
• Repeat customers (3+ orders): 50% advance, 50% on dispatch.
• Bulk & corporate (₹50,000+): custom terms agreed in writing per order.

3.3 Late payment

Invoices unpaid for 15+ days after dispatch attract simple interest at 1.5% per month on the outstanding amount. Repeated late payment will end credit terms.

3.4 Refunds

If we cancel an order before production starts, we refund 100% within 7 business days. After production starts, refunds are limited to defective items per Section 6.

4. Lead times & delivery

• Woven labels & patches: 7–10 business days from sample approval.
• Printed, cotton, care & name labels: 5–8 business days.
• Pre-made stock labels: ships within 24 hours, delivered in 2–4 days pan-India.
• Bulk orders (10,000+ pieces or 1,000+ patches): may add 2–5 days.

Shipping is via partners like DTDC, Delhivery, India Post or Blue Dart. Tracking is shared on WhatsApp. Delivery dates are estimates, not guarantees — strikes, weather, customs delays and other force-majeure events are outside our control. We're not liable for consequential losses caused by shipping delays.

5. Artwork & intellectual property

• You retain full ownership of all designs, logos, names and artwork you share with us.
• By placing an order you grant us a limited licence to reproduce your artwork solely to manufacture and ship your order.
• You confirm you have the right to use the artwork — i.e. it's your own, properly licensed, or otherwise legally cleared. We are not liable for IP infringement claims arising from artwork you supplied.
• We may show finished work on our portfolio, social channels or marketing material, with attribution. If you'd like your work kept confidential, tell us and we'll honour it on every order.
• Designs, mock-ups, sample previews and processes we create are our IP — they're licensed to you for your order, not transferred to you.

6. Quality, defects & returns

6.1 Custom orders

Custom labels and patches are made-to-order and are non-returnable unless they are defective. "Defective" means:

• The labels do not match the approved sample preview (colour, size, material, text).
• Manufacturing flaws (uneven weave, ink smearing, mis-cuts, fraying edges).
• Quantity short by more than 2% (industry standard tolerance).

Report defects within 7 business days of receiving the goods, with clear photos. We will, at our option, replace the defective pieces free of charge or refund the affected portion. Replacement is our preferred remedy.

6.2 Pre-made stock items

Pre-made size labels and blank tags can be returned within 7 days of receipt for a full refund (less return shipping) if unopened and in resalable condition.

6.3 What's NOT a defect

• Slight colour shifts due to monitor calibration vs. printed/woven output (we always proof on screen — exact colour matching to physical samples requires a Pantone-matched physical sample order, charged separately).
• Approved typos or design errors that were in the sample you signed off on.
• Wear-and-tear from improper application (e.g. sewing onto delicate fabrics without a tailor, applying patches to silicone-coated fabrics).
• Acceptable variance: ±1mm on dimensions, ±2% on order quantity, slight thread/ink batch shade variation across runs separated by months.

7. Cancellations

• Before sample approval: cancel free of charge, full refund.
• After sample approval, before production: cancellation incurs an artwork/setup fee of ₹500–₹2,000 depending on complexity.
• After production starts: the order is non-cancellable. The advance is forfeited; balance due is waived.

8. Limitation of liability

To the maximum extent allowed by law, our total liability under any order is limited to the amount you paid for that order. We are not liable for indirect, consequential or special damages — lost profits, lost sales, brand reputation harm, missed launch dates, etc. — even if we knew such damages were possible.

Nothing in these terms excludes liability that cannot legally be excluded (e.g. fraud, gross negligence).

9. Force majeure

Neither party is liable for delay or failure caused by events outside reasonable control: natural disasters, strikes, lockdowns, government action, power/internet outages, pandemics, war, or supply-chain disruptions. We'll communicate promptly and resume as soon as possible.

10. Confidentiality

We treat your designs, brand information and order details as confidential. We won't share them with anyone outside our production team and shipping partners without your consent. If you need a formal NDA, just ask — we sign mutual NDAs at no extra cost for orders ₹25,000+.

11. Governing law & disputes

These terms are governed by the laws of India. Any dispute arising out of or relating to these terms or any order shall be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat.

Before filing any claim, both parties will attempt good-faith resolution via direct discussion (a WhatsApp call usually does it). Most issues sort out in one conversation.

12. Changes to these terms

We may update these terms occasionally. The "Last updated" date at the top reflects the current version. Material changes will be communicated to active customers. Each new order is governed by the terms in effect at the time you place it.
